Jared Crain assists clients with a broad range of business and corporate matters, with a particular focus on the representation of emerging and growing companies. Jared has extensive experience advising clients with respect to choice of entity, business formation, strategic planning, private financing, mergers and acquisitions, securities law compliance, licensing and technology transactions and corporate governance. Jared has represented clients in IPOs, high-yield debt offerings, mergers and acquisitions, asset acquisitions and dispositions, and over $100 million of venture capital financings. Jared’s experience spans a diverse array of industries, including energy, technology, healthcare, mining, oil and gas, and transportation.
Jared complements his corporate practice with an estate planning practice, handling estates of all sizes and complexities. Jared works with clients to address their estate planning concerns, using vehicles such as trusts, limited liability companies, and marital agreements to achieve tax savings and to meet family and personal objectives.
Prior to joining Berg Hill Greenleaf & Ruscitti, Jared served as Corporate Counsel at VMware, Inc., providing legal counsel to the company’s cloud, channels and services businesses, and spent six years in private practice at the international law firm of Hogan Lovells US LLP, where Jared represented clients in a wide range of corporate and transactional matters.
Jared earned his law degree from the University of Colorado in 2004, with an emphasis in Taxation, and holds a Bachelor of Arts degree in Biochemistry and Molecular Biology from Cornell College.
